Scuderi, Murphy and Villani Speak before the Hudson-Bergen
Inn of Transactional Counsel

Thomas M. Scuderi,
Conor F. Murphy and
Joseph A. Villani,
Jr., spoke before the Hudson-Bergen Inn of
Transactional Counsel at the Offices of the Bergen County
Bar Association in Hackensack, New Jersey. The topic
presented was the “Issues Surrounding the Transfer of
Ownership Interests”.
Mr.
Scuderi, Mr. Murphy and Mr. Villani’s presentation focused
on the issues that a company and its owners face involving
the transferability of the equity interests in the company.
They discussed the different types of voluntary and
involuntary transfers that typically occur and the various
ways that the transfers may be addressed and/or
restricted in the various types of business agreements, i.e.
shareholder agreements, operating agreement, partnership
agreements. They also focused on the issues that a business
owner and his/her/their lawyer must address in order to
protect the company and its equity interest holders.
The
Hudson-Bergen Inn of Transactional Counsel is comprised of a
group of attorneys of varying skill levels who focus on
transactional related law. The mission of the Inn is to
teach, learn, improve practice skills, share experiences
with other members of the Bar, foster collegiality, and
promote excellence in the practice of law, as related to
transactional matters.
